These Terms and Conditions (“Terms”) govern your access to and use of the website qmsdoc.com (the “Site”) and the purchase or use of any digital products and services offered through the Site (collectively, the “Services”), provided by eCompliance Ltd. (“we,” “us,” or “our”).
By using the Site or purchasing any Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility
By using the Site, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Site on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
3. The Services
We sell downloadable Quality Management System (QMS) document templates, including procedures, policies, work instructions, and forms designed to support compliance with regulations such as the U.S. FDA Quality System Regulation (21 CFR Part 820), FDA Quality Management System Regulation (QMSR), 21 CFR Part 11, and related GMP, GxP, and ISO standards.
The templates are provided in Microsoft Word format unless otherwise specified, allowing you to customize them to your organization’s processes.
Important: The templates are provided as starting points for your own QMS documentation. They are not a substitute for professional regulatory advice or for an organization-specific quality system. You are responsible for adapting the templates to your operations, validating them, and ensuring compliance with all applicable regulations. See Section 11 (Disclaimers) below.
4. Account Registration
To purchase Services, you may need to create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the security of your password and accept all risk of unauthorized access
- Promptly notify us of any unauthorized use of your account at support@eCompliance.co.jp
- Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent activity.
5. Orders, Pricing, and Payment
Pricing. Prices are displayed on each product page. We may automatically convert prices into your local currency based on your detected location; the underlying transaction may be processed in a base currency. You are responsible for any currency conversion fees charged by your payment provider or bank.
Taxes. Prices are exclusive of any applicable VAT, GST, sales tax, or other taxes unless explicitly stated. Where required by law, applicable taxes will be added at checkout.
Payment. Payment is due in full at the time of order. We accept the payment methods displayed at checkout (credit/debit cards via Stripe, PayPal, etc.). By submitting payment information, you authorize us and our payment processors to charge the relevant amount.
Order acceptance. Your submission of an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion, including in cases of suspected fraud, errors in pricing, or unavailability.
Order confirmation. Once your payment is successfully processed, you will receive an order confirmation email containing a download link or instructions to access the purchased templates from your account.
6. Delivery of Digital Products
Templates are delivered electronically via download from your account or via a download link sent by email. You will normally have access to your downloads immediately after payment is successfully processed.
If you do not receive your download link within 24 hours of payment, please contact support@eCompliance.co.jp.
You are responsible for downloading and storing your purchased files. We may, in our discretion, allow re-download for a limited period, but we do not guarantee permanent availability of past downloads.
7. License Grant
Subject to your full payment and compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable license to use the purchased templates for the internal business purposes of the legal entity that purchased the templates (“Licensee”). The license includes the right to:
- Modify and customize the templates for use within the Licensee’s quality management system
- Reproduce the templates as needed within the Licensee’s organization
- Use the templates to support regulatory submissions, inspections, and audits
You may not:
- Resell, redistribute, sublicense, lease, lend, or otherwise transfer the templates, in original or modified form, to any third party
- Make the templates available on a public website, file-sharing service, or template marketplace
- Remove any copyright, trademark, or other proprietary notices
- Use the templates for, or on behalf of, any third party as a consulting deliverable without our prior written consent
- Use the templates to develop a competing product or template library
If you are a consultant or contractor and wish to use the templates as part of services for a third-party client, you must purchase a separate license for that client or contact us for an enterprise licensing arrangement.
All intellectual property rights in the templates remain the exclusive property of eCompliance Ltd.
8. Refund Policy
Refunds for downloadable digital products are governed by our Refund Policy, which forms part of these Terms. Please review the Refund Policy before purchasing.
9. Acceptable Use
You agree not to:
- Use the Site or Services for any unlawful purpose or in violation of these Terms
- Attempt to gain unauthorized access to any part of the Site, our servers, or other users’ accounts
- Interfere with or disrupt the operation of the Site (e.g., introducing viruses, denial-of-service attacks)
- Scrape, crawl, or harvest content from the Site without our written permission
- Use the Site to transmit unsolicited communications or harmful content
- Reverse engineer, decompile, or disassemble any part of the Site or Services
We reserve the right to suspend or terminate access for any user who violates this Section.
10. Intellectual Property
All content on the Site, including text, graphics, logos, images, software, and the QMS templates, is the property of eCompliance Ltd. or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license expressly granted in Section 7, no rights are granted to you.
11. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or compliance with any specific regulatory standard.
While our templates are designed to align with referenced regulatory frameworks at the time of publication, we make no representation or warranty that:
- The templates will satisfy any specific regulatory authority’s requirements applicable to your organization
- The templates will pass any inspection, audit, or certification
- The templates are free from errors, inaccuracies, or omissions
- The templates are current with the most recent regulatory revisions
You are solely responsible for your organization’s compliance with all applicable laws and regulations. Nothing in the Services constitutes legal, regulatory, or professional advice. You should consult qualified regulatory and legal professionals before relying on any template for a regulatory submission, inspection, or audit.
12. Limitation of Liability
To the maximum extent permitted by law, in no event shall eCompliance Ltd., its directors, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or regulatory fines, arising out of or in connection with your use of the Site or Services, even if we have been advised of the possibility of such damages.
Our total cumulative liability for any and all claims arising out of or relating to the Site or Services shall not exceed the amount you paid to us for the specific Service that gave rise to the claim during the twelve (12) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above exclusions may not apply to you in full.
13. Indemnification
You agree to indemnify, defend, and hold harmless eCompliance Ltd., its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) your violation of any applicable law.
14. Termination
We may suspend or terminate your access to the Site or your account at any time, with or without cause and with or without notice, for any reason including breach of these Terms. Upon termination, your right to use any purchased templates ceases if termination is due to your material breach of these Terms.
Sections that by their nature should survive termination (including Sections 7, 10, 11, 12, 13, 15, and 16) shall survive.
15. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court (Tokyo Chiho Saibansho), Japan, as the court of first instance.
If you are a consumer in the European Economic Area, the United Kingdom, or another jurisdiction granting mandatory consumer protections, the foregoing does not deprive you of any protection afforded to you by mandatory law in your country of residence.
16. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and us with respect to the Site and Services.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force.
- No waiver. Our failure to enforce any right or provision shall not constitute a waiver.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force majeure. We shall not be liable for any failure or delay caused by events beyond our reasonable control.
- Changes. We may update these Terms at any time. The “Last updated” date reflects the latest revision. Continued use of the Site after changes take effect constitutes acceptance.
